Terms of Service

Terms governing your use of the CeremonyAI platform

1. Acceptance of Terms

By accessing or using the CeremonyAI platform ("Service") operated by Thili.ai ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the Service, including visitors, registered users, and paid subscribers.

2. Description of Service

CeremonyAI is an AI-powered product planning platform that helps product managers, engineering leaders, and development teams turn product ideas into developer-ready specifications. The Service includes:

  • AI-assisted project brainstorming and charter generation
  • Architecture playbook and technical deep-dive analysis
  • Sprint planning and story generation
  • Code specifications and developer tool integration
  • Enterprise governance and compliance assessment
  • Export capabilities (PDF, PPTX, JIRA, Notion, GitHub)

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Credits

4.1 Plans

CeremonyAI offers multiple subscription tiers (Free, Pro, Enterprise) with varying features and credit allocations. Plan details, pricing, and included credits are displayed on our billing page and are subject to change with notice.

4.2 Credits

Each AI workflow step consumes credits. Credits are non-transferable and non-refundable. Unused credits from monthly allocations may expire at the end of each billing cycle as specified in your plan. Purchased credit packs do not expire while your account is active.

4.3 Billing and Payments

Subscription fees are billed in advance on a recurring basis. Payments are processed through our payment provider (Razorpay). By subscribing, you authorize us to charge your payment method on each billing cycle. All fees are quoted in the currency displayed at the time of purchase.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree not to use the Service to:

  • Submit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to generate content that promotes violence, discrimination, or illegal activities
  • Circumvent, disable, or otherwise interfere with security-related features
  • Use automated tools (bots, scrapers) to access the Service without authorization
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Resell, redistribute, or commercially exploit the Service without our written consent
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers connected to the Service

We employ prompt security measures to detect and prevent misuse of AI-generated content. Violation of this policy may result in immediate account termination.

6. Intellectual Property

6.1 Your Content

You retain ownership of the project data, descriptions, and other content you submit to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely to provide and improve the Service.

6.2 Generated Outputs

AI-generated outputs (charters, architecture plans, sprint plans, code specifications, pitch decks, etc.) produced by CeremonyAI based on Your Content are owned by you. You are free to use, modify, and distribute these outputs for any lawful purpose.

6.3 Our Intellectual Property

The CeremonyAI platform, including its design, algorithms, prompts, branding, and documentation, is owned by Thili.ai and protected by intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or brand assets except as explicitly permitted.

7. AI-Generated Content Disclaimer

CeremonyAI uses third-party AI models (including Google Gemini and Anthropic Claude) to generate outputs. You acknowledge and agree that:

  • AI-generated content is provided as a starting point and should be reviewed by qualified professionals before implementation
  • AI outputs may contain errors, inaccuracies, or biases inherent in the underlying models
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose
  • Architecture plans, security recommendations, and compliance assessments generated by the platform do not constitute professional engineering, legal, or security advice
  • You are solely responsible for validating and implementing any AI-generated plans, code, or recommendations

8. Third-Party Integrations

CeremonyAI offers integrations with third-party services including JIRA, Notion, GitHub, and Google Cloud Platform. When you use these integrations:

  • You provide your own credentials for those services
  • You are responsible for compliance with those services' terms of use
  • We are not responsible for the availability, functionality, or security of third-party services
  • Data exported to third-party services is governed by their respective privacy policies

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied
  • We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless Thili.ai, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts in Bangalore, India.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify users of material changes by posting the revised Terms on this page and updating the "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you disagree with any changes, you may close your account.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
